Our services may be customized for each client based on individual project requirements.

Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our services.

If you use our services on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

Quotes and Proposals

Project quotations, proposals, and statements of work are valid only for the period specified in the proposal unless otherwise stated.

No project will begin until both parties have agreed to the project scope and applicable payment terms.

Payments

Fees for our services are outlined in individual proposals, contracts, invoices, or subscription plans.

Payments must be made according to the agreed payment schedule.

Late payments may result in:

  • Suspension of work
  • Delayed project delivery
  • Suspension of access to hosted services
  • Additional late fees where permitted by law

Clients are responsible for any applicable taxes unless otherwise specified.

Project Scope

Edutain 360 will perform services according to the mutually agreed project scope.

Requests outside the approved scope may require:

  • Additional fees
  • Revised timelines
  • Separate project agreements

Client Responsibilities

Clients agree to:

  • Provide accurate information
  • Deliver requested materials on time
  • Review deliverables promptly
  • Provide timely feedback
  • Obtain rights to any content they provide
  • Cooperate throughout the project

Project delays caused by missing client information may affect delivery timelines.

Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of materials they provide.
  • Edutain 360 retains ownership of its proprietary methodologies, templates, software, processes, reusable assets, AI workflows, and internal development tools.
  • Upon full payment, clients receive the rights specified in their project agreement for the final deliverables.

Any third-party assets remain subject to their respective licenses.

AI-Assisted Services

Edutain 360 may use artificial intelligence tools to improve productivity, content generation, design assistance, quality assurance, automation, and workflow efficiency.

All AI-assisted work is reviewed by our team before delivery whenever appropriate.

Clients remain responsible for reviewing final deliverables before implementation.

Confidentiality

Both parties agree to protect confidential information shared during the course of a project.

Confidential information will not be disclosed to third parties except:

  • With permission
  • To authorized subcontractors under confidentiality obligations
  • When required by law

Third-Party Services

Projects may integrate third-party platforms including, but not limited to:

  • Learning Management Systems
  • Articulate Storyline
  • Adobe Captivate
  • Vyond
  • Moodle
  • AI platforms
  • Cloud hosting providers
  • Payment providers

Edutain 360 is not responsible for outages, pricing changes, licensing changes, or policies imposed by third-party providers.

Website Use

You agree not to:

  • Attempt unauthorized access
  • Interfere with website security
  • Upload malicious software
  • Violate applicable laws
  • Copy or reproduce website content without permission

User Content

If you submit information through our website, you grant Edutain 360 the right to use that information solely for responding to your inquiry or delivering requested services.

You represent that submitted materials do not violate any third-party rights.

Service Availability

We strive to maintain uninterrupted website availability but do not guarantee continuous operation.

Maintenance, technical issues, or circumstances beyond our control may temporarily affect service availability.

  • Loss of business

Our total liability arising from any claim shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Edutain 360, its owners, employees, contractors, and affiliates from claims arising from:

  • Your misuse of our services
  • Your violation of these Terms
  • Materials you provide
  • Your infringement of third-party rights

Termination

Either party may terminate a project according to the applicable project agreement.

Outstanding invoices remain payable following termination.

Certain provisions, including confidentiality, intellectual property, payment obligations, limitation of liability, and dispute resolution, survive termination.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless another jurisdiction is specified in a written agreement.
